ALGI Retail Cloud

Terms of Service

Version 1.0 (draft). These Terms are accepted when an account is opened. English is the operative version.

1. Parties and acceptance

1.1 The service is provided by ALGI AI Yazılım ve Teknoloji Limited Şirketi, registered in Istanbul, Türkiye, MERSIS 0051123960800001, Erenköy Mah. Şerafettin Sk. Selvili Apt. No:26/15, Kadıköy, İstanbul, Türkiye (“ALGI”).

1.2 The customer is the business named at account creation (“Customer”). The service is offered to businesses only, not to consumers. The person who creates the account confirms that they are authorised to bind the Customer.

1.3 The Customer accepts these Terms and the Data Processing Agreement below by ticking the acceptance box at account creation. ALGI records the date, time, account and the version accepted, and sends a copy to the account email address.

2. Definitions

“Service” means ALGI Retail Cloud: the processing of video from the Customer’s cameras into anonymous visitor data, the dashboard, the reports and any modules the Customer activates.

“Camera Data” means video or image frames received from the Customer’s cameras.

“Output Data” means the anonymous counts, estimates and reports the Service produces from Camera Data.

“Module” means an optional function activated from the account, such as demographics, heat map and zones, dwell time or checkout waiting.

“Store” means one physical location registered in the account.

3. The Service

3.1 ALGI receives a reduced video stream from the cameras the Customer connects, processes it on servers owned and operated by ALGI in Türkiye, and makes Output Data available in the dashboard and in scheduled reports.

3.2 Processing is not real time. Each day’s Camera Data is processed after the end of that day and Output Data for that day is normally available by 09:00 local time the following morning.

3.3 Output Data consists of counts and statistical estimates. The Service does not identify people, does not perform facial recognition and does not store images of people.

3.4 ALGI may improve, modify or add to the Service. ALGI will give at least 30 days’ notice by email before removing a function the Customer is paying for.

4. Account and free trial

4.1 One account covers all of the Customer’s Stores. The Customer is responsible for everyone who uses the account and for keeping its credentials confidential.

4.2 The first Store is free for 30 days from the date its first camera is connected. No payment details are required to start. At the end of the trial the account continues only if the Customer adds a payment method or agrees invoicing with ALGI; otherwise it is closed and Output Data deleted after 30 days.

4.3 ALGI reviews the Customer’s camera views before the trial starts and may decline a camera that cannot count reliably. This review is free and creates no obligation on either side.

5. Customer obligations

5.1 The Customer confirms that it owns or lawfully controls every camera it connects and has the right to share its video with ALGI.

5.2 The Customer is responsible for the lawfulness of its camera recording under Bulgarian law and the GDPR, including signage informing visitors that video surveillance is in operation, any register or notice obligations, and any works council or employee information obligations where cameras cover areas used by staff.

5.3 The Customer will not connect cameras that cover changing rooms, toilets, staff rest areas, or any area where a person has a reasonable expectation of privacy, and will not connect cameras pointed at public space beyond the shop entrance.

5.4 The Customer will keep its account information, Store addresses and camera list accurate, and will tell ALGI before moving or re-aiming a camera that is used for counting.

5.5 The Customer will use Output Data for its own business purposes only and will not resell it or use the Service to build a competing product.

6. Fees, billing and taxes

6.1 Fees are charged per camera per month at the prices shown in the account at the time of activation, in euro, excluding VAT. Modules are charged per camera per month in addition to the base fee.

6.2 Fees are billed monthly in advance on the account’s billing date. A camera or Module activated during a month is charged from the first day of the following month. A camera or Module deactivated during a month is charged for that month in full.

6.3 ALGI may change prices with 30 days’ notice by email. The new price applies from the next billing date after the notice period. A Customer who does not accept a change may cancel before it takes effect.

6.4 Where the Customer provides a valid EU VAT identification number, VAT is accounted for by the Customer under the reverse charge mechanism. Where no VAT number is provided, [VAT TREATMENT TO BE CONFIRMED].

6.5 Invoices unpaid 14 days after the due date carry statutory interest, and ALGI may suspend the account after a further 7 days’ written notice.

7. Term, cancellation and suspension

7.1 The agreement runs month to month from the end of the trial.

7.2 The Customer may cancel the whole account, a Store, a camera or a Module at any time from the account. Cancellation takes effect at the end of the current billing month. No notice period applies and no refund is given for the remainder of the month.

7.3 ALGI may terminate with 30 days’ notice by email, or immediately if the Customer breaches clause 5, fails to pay after the notice in clause 6.5, or becomes insolvent.

7.4 ALGI may suspend processing of a camera immediately if it reasonably believes the camera covers an area described in clause 5.3 or is being used unlawfully. ALGI will tell the Customer the reason.

7.5 On termination the Customer may export its Output Data for 30 days, after which ALGI deletes it in accordance with the Data Processing Agreement.

8. Personal data

8.1 For the purposes of the GDPR the Customer is the controller of Camera Data and Output Data and ALGI is the processor. The Data Processing Agreement forms part of these Terms.

8.2 ALGI processes the Customer’s account and billing information (name, business details, contact details, payment references) as a controller, for the purpose of providing and invoicing the Service, as described in ALGI’s privacy policy.

9. Accuracy and nature of Output Data

9.1 Output Data is produced by automated analysis of video and is a statistical estimate. Counting accuracy depends on camera position, angle, lighting, crowd density and visitor behaviour. ALGI gives no guarantee that any count, estimate or report is complete or exact.

9.2 Demographic estimates (age band and gender) are inferred from appearance in aggregate and are not a determination about any individual.

9.3 The Customer is solely responsible for business decisions made using Output Data. ALGI is not liable for any loss arising from reliance on Output Data.

10. Availability and support

10.1 ALGI will use reasonable efforts to keep the dashboard available and to deliver daily Output Data on time, but does not guarantee uninterrupted availability. Planned maintenance will be notified where practical.

10.2 Where the camera stream is interrupted for reasons on the Customer’s side (internet outage, recorder switched off, camera moved), no Output Data can be produced for that period and no credit is due.

10.3 Support is provided by email and [WHATSAPP / VIBER NUMBER] during [SUPPORT HOURS], in English and Bulgarian.

11. Intellectual property

11.1 ALGI owns the Service, its software, models, dashboards and documentation. The Customer receives a non-exclusive, non-transferable right to use the Service for its own business during the term.

11.2 The Customer owns its Output Data. ALGI may use aggregated and anonymised statistics derived from the Service across customers, which cannot be linked to the Customer or any Store, to operate and improve the Service.

12. Confidentiality

Each party will keep the other’s non-public business information confidential and use it only for the purposes of this agreement, during the term and for three years after. This does not apply to information that is public, already known, or required to be disclosed by law.

13. Liability

13.1 Nothing in these Terms excludes liability for death, personal injury, fraud or any liability that cannot be excluded by law.

13.2 Subject to 13.1, ALGI’s total liability under or in connection with this agreement in any 12-month period is limited to the fees paid by the Customer in the 12 months before the event giving rise to the claim.

13.3 Subject to 13.1, neither party is liable for loss of profit, loss of business, loss of data (other than as provided in the Data Processing Agreement) or any indirect or consequential loss.

13.4 The Customer will indemnify ALGI against claims by third parties, including visitors, employees and supervisory authorities, arising from the Customer’s breach of clause 5.

14. Changes to these Terms

ALGI may update these Terms. Material changes will be notified by email and presented for acceptance at the next login at least 30 days before they take effect. Continued use after that date is acceptance. Previous versions remain available on request.

15. Governing law and disputes

15.1 These Terms are governed by the laws of the Republic of Türkiye.

15.2 The parties will try to resolve any dispute by discussion between managers within 30 days. Failing that, the courts of Istanbul (Çağlayan) have exclusive jurisdiction.

15.3 Nothing in this clause prevents either party from seeking urgent injunctive relief in any competent court, or affects any mandatory rights of the Customer under the law of its own country.

16. General

16.1 Notices are given by email to the addresses on the account and at [LEGAL EMAIL]. A notice is deemed received on the next business day.

16.2 Neither party may assign this agreement without the other’s consent, except that ALGI may assign it to an affiliate or a successor to its business on notice.

16.3 If any clause is held invalid, the rest remains in force. Failure to enforce a right is not a waiver.

16.4 These Terms, the Data Processing Agreement and the prices shown in the account are the whole agreement and replace any earlier discussions. Where a Bulgarian translation is published, the English text prevails.
